1. Acceptance of Terms

These Terms and Conditions constitute a legally binding agreement between you and Haven Collective regarding your use of our apartment rental services in Taipei, Taiwan. By engaging our services or using our website, you agree to be bound by these terms.

If you do not agree to these terms, you should not use our services or website. We reserve the right to modify these terms at any time, with changes becoming effective upon posting to our website.

2. Definitions

For the purposes of these Terms and Conditions:

• "Service" refers to the apartment rental consultation and property search services provided by Haven Collective.
• "Client" or "You" refers to the individual or entity engaging our services.
• "We", "Us", or "Our" refers to Haven Collective.
• "Property" refers to any residential apartment presented as part of our service.
• "Agreement" refers to the service agreement entered into between Client and Haven Collective.

3. Service Description

Haven Collective provides professional apartment rental consultation services, including property search assistance, viewing coordination, lease negotiation support, and related services as outlined in our service tiers: Core Residence, Premier Portfolio, and Signature Residences.

The specific services provided depend on the service tier selected and are subject to the terms of the individual service agreement. We act as consultants and facilitators; we do not own, manage, or guarantee the availability of any properties.

4. Eligibility

You must be at least 18 years of age to engage our services. By using our services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into binding agreements.

For corporate or organizational clients, the individual engaging our services must have appropriate authority to bind the organization to these terms.

5. Service Fees and Payment

Service fees are determined by the selected service tier and are specified in the individual service agreement. Fees are payable in Taiwan Dollars (TWD) according to the payment schedule outlined in your agreement.

Payment Terms

• Payment is typically required upon execution of service agreement or as otherwise specified
• Accepted payment methods include bank transfer, credit card, or other approved methods
• All fees are exclusive of applicable taxes unless otherwise stated
• Late payments may incur additional fees as permitted by Taiwan law

Refund Policy

Service fees are generally non-refundable once services commence. Specific refund provisions, if any, are outlined in the individual service agreement. Refund requests must be submitted in writing to [email protected].

6. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information during consultation and application processes
• Respond promptly to communications regarding property viewings and applications
• Attend scheduled property viewings or provide timely notice of inability to attend
• Review all documentation carefully before signing any agreements
• Comply with property viewing protocols and respect property owners' time and property
• Provide necessary documentation for rental applications as requested
• Notify us immediately of any changes to your requirements or circumstances
• Make final rental decisions independently based on your own judgment and due diligence

7. Service Limitations and Disclaimers

No Guarantees

While we strive to provide professional service, we cannot guarantee specific outcomes, including successful property acquisition, lease terms, or approval of rental applications. Property availability, owner decisions, and market conditions are beyond our control.

Property Information

Property information is provided based on owner representations and our own observations. While we make reasonable efforts to verify information accuracy, we cannot guarantee all details. Clients are responsible for conducting their own due diligence and inspection of properties.

Third-Party Relationships

We are not responsible for the actions, representations, or omissions of property owners, management companies, or other third parties. Lease agreements are between clients and property owners; we facilitate but are not parties to these agreements.

Legal and Financial Advice

Our services do not constitute legal or financial advice. While we may provide legal review of lease documents as part of certain service tiers, clients should consult independent legal counsel for specific legal matters.

8. Intellectual Property

All content on our website, including text, graphics, logos, and software, is the property of Haven Collective or our licensors and is protected by Taiwan and international intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from our content without express written permission. Property listings and information provided to you are for personal use only and may not be republished or redistributed.

9. Confidentiality

We maintain confidentiality of client information in accordance with our Privacy Policy and applicable data protection laws. Clients agree to maintain confidentiality of proprietary information about our business operations, property listings available through professional channels, and other non-public information.

This confidentiality obligation survives termination of our service relationship.

10. Limitation of Liability

To the maximum extent permitted by Taiwan law, Haven Collective's total liability for any claims arising from or related to our services shall not exceed the amount of fees paid by the client for the specific service giving rise to the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, regardless of the legal theory underlying the claim.

This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis.

11. Indemnification

You agree to indemnify, defend, and hold harmless Haven Collective, its officers, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.

12. Termination

Either party may terminate the service relationship in accordance with the termination provisions in the individual service agreement. Termination does not relieve either party of obligations incurred prior to termination.

We reserve the right to terminate services immediately if you breach these terms or engage in conduct that we reasonably believe is harmful to our business or other clients.

13. Dispute Resolution

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Taiwan, without regard to conflict of law provisions.

Jurisdiction

Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Taipei, Taiwan.

Informal Resolution

Before initiating formal legal proceedings, parties agree to attempt resolution through good faith negotiation. Either party may initiate this process by providing written notice to the other party describing the dispute.

14. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or other force majeure events. The affected party must provide prompt notice and make reasonable efforts to resume performance.

15. General Provisions

Entire Agreement

These Terms and Conditions, together with the individual service agreement and Privacy Policy, constitute the entire agreement between you and Haven Collective regarding our services.

Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Failure to enforce any provision of these terms does not constitute a waiver of that provision or any other provision.

Assignment

You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations without restriction.

Notice

All notices under these terms must be in writing and delivered to the addresses specified in the service agreement or to [email protected].

16. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to our website with an updated effective date. Continued use of our services after changes are posted constitutes acceptance of the modified terms.

Material changes will be communicated to active clients via email or other appropriate means.
